1. Agreement to These Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Capstone, Inc. (“Capstone,” “we,” “our,” or “us”), a company incorporated in the United States. By creating an account, accessing our platform, or participating in any Virtual Work Experience (“Virtual Work Experience (Simulation)”), you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Capstone platform. We recommend keeping a copy of these Terms for your records.
You must be at least 18 years of age to use Capstone. By agreeing to these Terms, you represent that you meet this requirement.
2. What Capstone Is
Capstone is an AI-powered experiential learning and assessment platform. We place individuals inside simulated work environments (“Virtual Work Experiences” or “Simulations”) where they develop and demonstrate professional skills through realistic tasks, deliverables, and interactions with AI agent personas. Learning and assessment happen together: Simulations are designed to be genuinely educational experiences, not just tests.
Capstone offers two types of Simulations:
- Capstone Simulations: Fully fictional environments created and owned entirely by Capstone. The companies, colleagues, products, and scenarios within these Simulations are fabricated for learning and assessment purposes and do not represent real organisations or individuals.
- Industry Simulations: Environments co-created with real organisations, which may incorporate real company contexts, challenges, or branding. Industry Simulations are clearly labelled as such. Additional confidentiality obligations may apply, as set out in Section 4.3 below.
In all cases, the AI agent personas you interact with are fictional characters, regardless of Simulation type.
The Virtual Work Experience (Simulation) environments are fictional. The companies, colleagues, and scenarios you encounter within simulations are entirely fabricated for assessment purposes and do not represent real organizations or individuals. Any resemblance to actual companies or people is coincidental.
Capstone is an experiential learning and assessment platform, not a job placement service. While our Simulations are designed to build real, transferable skills and provide verifiable proof of work, completing a Virtual Work Experience (Simulation) does not guarantee employment, job interviews, or any specific career outcome.
3. Account Registration and Eligibility
3.1 Creating Your Account
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately at hello@usecapstone.com if you suspect unauthorized access to your account
- You may only create one account per person; duplicate accounts are prohibited
3.2 Account Responsibility
You are responsible for all activity that occurs under your account. Capstone is not liable for losses arising from unauthorized use of your account where you failed to protect your credentials or notify us of suspicious activity.
4. Virtual Work Experience Participation
4.1 How Virtual Work Experiences (Simulations) Work
When you enroll in a Virtual Work Experience (Simulation), you will be placed inside a simulated workplace environment. You will interact with AI agent personas acting as colleagues and stakeholders, complete professional tasks and deliverables, and receive an evaluation of your performance across standardized competency dimensions.
Virtual Work Experiences (Simulations) are designed to replicate realistic workplace dynamics. AI agents may exhibit challenging behaviors, including pushback, ambiguity, and varying communication styles, as these are intentional features of the assessment design.
4.2 Authenticity Requirements
Your participation must reflect your own authentic work and judgment. The following are strictly prohibited:
- Submitting work produced by others as your own
- Sharing simulation content, prompts, or scenario details with other participants
- Coordinating responses with other users during an active assessment
- Using automated tools, bots, or scripts to complete tasks on your behalf
- Attempting to manipulate or reverse-engineer the evaluation engine
Violations of these authenticity requirements may result in disqualification, account termination, and invalidation of any scores or credentials associated with your account.
4.3 Simulation Limitations
AI agent responses within Virtual Work Experiences (Simulations) are generated by large language models. While we design agents to behave consistently with their defined personas and available context, AI outputs may occasionally be imperfect. If you encounter agent behavior that appears significantly out of character or technically broken, please report it to hello@usecapstone.com.
Assessment scores are generated by Capstone's evaluation engine based on your performance signals. Scores represent Capstone's assessment methodology and do not constitute a definitive or legally binding determination of your professional abilities.
4.3 Industry Simulation Confidentiality
Where you participate in an Industry Simulation co-created with a real organisation, the following additional obligations apply:
- You must treat all scenario content, company information, challenges, and materials shared within the Simulation as confidential
- You may not disclose, reproduce, or share Industry Simulation content with any third party without prior written consent from Capstone
- Confidentiality obligations for Industry Simulations survive the termination of your account and remain in effect indefinitely
- Intellectual property belonging to the partner organisation, including but not limited to trademarks, branding, and proprietary business information, remains the property of that organisation and is licensed for your use solely within the Simulation
Capstone will clearly identify when a Simulation is an Industry Simulation before you enrol. By proceeding with enrolment, you acknowledge and accept these additional obligations.
4.4 Beta Participation
If you have been invited to participate in a Capstone beta program, additional terms apply as outlined in your beta participation agreement. Beta participants agree to:
- Complete the Virtual Work Experience (Simulation) within the agreed timeframe
- Participate in a debrief call and provide feedback
- Keep simulation content, scenario details, and platform features confidential during the beta period
- Understand that beta assessments may not yet reflect final scoring calibration
5. Fees, Payment, and Refunds
5.1 Fees
Access to certain Capstone services, including Virtual Work Experience (Simulation) enrollment, requires payment of applicable fees. Current pricing is published on the Capstone platform and may vary by product, tier, or promotional offer.
Capstone reserves the right to modify its pricing at any time. Changes to pricing will be communicated in advance and will not affect fees already paid for active enrollments.
5.2 Payment
All payments are processed through third-party payment providers. By submitting payment information, you authorize Capstone to charge the applicable fees to your selected payment method. You represent that you are authorized to use the payment method provided.
All fees are in US Dollars unless otherwise specified.
5.3 Refund Policy
Capstone's refund policy is as follows:
- Refund requests submitted before you begin a Virtual Work Experience (Simulation) may be eligible for a full refund, subject to review
- Once you have started a Virtual Work Experience (Simulation) (defined as sending your first message or completing your first task within the simulation), the fee is non-refundable
- If a Virtual Work Experience (Simulation) is cancelled by Capstone prior to completion due to a platform error, you will receive a full refund or credit at our discretion
- Subscription fees, where applicable, are non-refundable once the billing period has commenced
To request a refund, contact hello@usecapstone.com within 14 days of purchase. Capstone reserves the right to modify the refund policy at any time, with changes applying to future purchases.
6. Intellectual Property
6.1 Capstone's Proprietary Technology
The Capstone platform, including its evaluation engine, AI agent configurations, behavioral signal taxonomy, scoring rubrics, simulation design, calibration data, and all associated software and documentation, is the exclusive intellectual property of Capstone, Inc. These materials are protected by trade secret law, copyright, and other applicable intellectual property protections.
You may not copy, reproduce, reverse-engineer, decompile, disassemble, or create derivative works from any part of the Capstone platform. You may not attempt to extract, replicate, or disclose Capstone's proprietary evaluation methodology or agent design.
6.2 Your Content
You retain ownership of the work you produce during Virtual Work Experiences (Simulations), including messages, documents, and deliverables (“Your Content”). By submitting Your Content through the platform, you grant Capstone a non-exclusive, worldwide, royalty-free license to use, store, and process Your Content for the purposes of:
- Delivering the assessment and generating your evaluation report
- Improving the platform and evaluation engine, using fully anonymized data only
- Operating, maintaining, and troubleshooting the platform
This license does not permit Capstone to sell Your Content or share it with third parties in identifiable form without your consent. See our Privacy Policy for full details on how your data is used.
6.3 Simulation Content
For Capstone Simulations, all scenario content, company profiles, agent personas, task briefs, and narrative materials are owned exclusively by Capstone. You may not reproduce, distribute, or publicly disclose this content without prior written permission.
For Industry Simulations, scenario content may include materials owned by or licensed from the partner organisation. Such content remains the intellectual property of the respective owner and is made available to you solely for the purpose of completing the Simulation. The confidentiality obligations in Section 4.3 apply in full.
7. Acceptable Use
You agree not to use the Capstone platform to:
- Violate any applicable law or regulation
- Harass, abuse, or harm others
- Introduce malware, viruses, or malicious code
- Attempt to gain unauthorized access to our systems or another user's account
- Circumvent or disable any security or access control features
- Use the platform in any way that could damage, disable, or impair its operation
- Scrape, crawl, or systematically extract data from the platform without authorization
We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach these requirements.
8. Fraudulent Behaviour
Capstone has zero tolerance for fraudulent behaviour. This applies to all aspects of your interaction with the platform, including but not limited to:
- Misrepresenting your identity, qualifications, or professional background during registration or within a Simulation
- Submitting work, deliverables, or responses that were produced by another person and presenting them as your own
- Manipulating, falsifying, or attempting to game assessment scores or evaluation outputs
- Using multiple accounts to retake Simulations and obscure prior performance
- Providing false information in connection with a refund request, dispute, or support inquiry
- Impersonating another user, Capstone employee, or any third party on the platform
- Engaging in any deceptive conduct designed to mislead Capstone, other users, or any potential employer reviewing your results
Where fraudulent behaviour is identified, Capstone reserves the right to take any or all of the following actions without prior notice:
- Immediate suspension or permanent termination of your account
- Invalidation of any assessment scores, credentials, or completion records associated with your account
- Forfeiture of any fees paid, with no entitlement to a refund
If you become aware of fraudulent behaviour by another user, please report it to hello@usecapstone.com. We take all reports seriously and investigate them thoroughly.
9. Disclaimers and Limitation of Liability
9.1 No Warranty
THE CAPSTONE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CAPSTONE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the platform will be error-free, uninterrupted, or free from security vulnerabilities. We do not guarantee any specific assessment outcome, career result, or employment opportunity.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAPSTONE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO CAPSTONE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
CAPSTONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Capstone, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the platform in violation of these Terms
- Your Content, to the extent it infringes any third-party rights
- Any misrepresentation you make in connection with your account or Virtual Work Experience (Simulation) participation
11. Termination
11.1 Termination by You
You may close your account at any time by contacting hello@usecapstone.com. Termination does not entitle you to a refund of fees already paid, subject to the refund policy in Section 5.3.
11.2 Termination by Capstone
We may suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent or harmful behavior, or if we are required to do so by law.
Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination, including intellectual property rights, payment obligations, disclaimers, and dispute resolution, will remain in effect.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal legal action, you agree to contact Capstone at hello@usecapstone.com and attempt to resolve the dispute informally for a period of at least 30 days.
12.2 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration.
12.3 Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform that cannot be resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the United States.
You and Capstone agree to resolve disputes only on an individual basis. Class actions and class arbitrations are not permitted.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent platform notice at least 14 days before the changes take effect. Your continued use of Capstone after the effective date of the updated Terms constitutes acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the platform before the effective date.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Capstone regarding your use of the platform
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force
- No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future
- Assignment: You may not assign your rights under these Terms without our prior written consent. Capstone may assign its rights freely
- Force Majeure: Capstone is not liable for failures or delays caused by circumstances beyond its reasonable control
